• Negotiation and drafting of documents for joint venture operations
• Drafting of investment protocols, shareholders’ agreements and other constitutional and extra-constitutional agreements
• Drafting and negotiation of documents for issues of simple or complex securities
• Consulting and assistance for insolvent companies, their managing or financial shareholders and/or their buyers
• Assistance and coordination with the competent authorities

• Data room organization and buyer or seller legal audits
• Legal and tax structuring of acquisition or transfer transactions
• Drafting and negotiation of pre-transaction documentation (power of attorney, confidentiality agreement, letter of intent, offer note)
• Drafting and negotiation of all contractual documents (acquisition agreement, asset and liability guarantee)

• Assistance is selecting legal structures and drafting legal documents for the creation and life of commercial and non-commercial companies
• Company operations: capital increase/decrease, merger, demerger, partial transfer of assets
• Issuing of simple and hybrid securities, and share repurchases
• Drafting of constitutional and extra-constitutional shareholders’ agreements
• Assistance and advice for corporate managers on their status and remuneration
• Drafting and negotiation of senior management investment and incentive agreements
